These Terms and Conditions (“Terms”) govern the use of the Western Trade Coast Business Directory (“Directory”) and apply to all businesses (“you”, “your”) that purchase, renew or maintain a listing on the Directory, operated by the Western Trade Coast Business Directory (“WTCBD”, “we”, “our”). By purchasing, renewing or maintaining a listing on the Directory, you agree to be bound by these Terms.

1. Directory Listing Service

The Western Trade Coast Business Directory is an online business directory serving the Western Australian business community. A listing on the Directory provides your business with a published profile to support visibility, discoverability and connection with other businesses and decision-makers across the region. The Directory operates independently from the Western Trade Coast Business Network (“WTCBN”). A directory listing does not constitute WTCBN membership and membership is not included with a directory listing.

2. Listing Fees and Renewals

The annual fee for a Directory listing is $99 (excl. GST), billed in advance at the commencement of each listing period. A Directory listing becomes active upon payment of the applicable listing fee and remains active for twelve (12) months unless otherwise specified. Listings will automatically renew for successive twelve (12) month periods unless you provide written notice of cancellation at least fifteen (15) days prior to the renewal date. Fees are reviewed annually. Updated fees will be communicated at least thirty (30) days prior to the relevant renewal date. Renewal of your listing constitutes acceptance of the updated fee. Listings may be suspended or removed where renewal fees remain unpaid beyond the due date.

3. Listing Inclusions

A standard Directory listing includes the following:

WTCBD reserves the right to adjust the layout, design and features of the Directory from time to time. Where changes materially affect the inclusions above, WTCBD will provide reasonable notice to listed businesses.

WTCBD does not guarantee enquiries, leads, website traffic, sales, introductions or business outcomes arising from a Directory listing.

4. Business Responsibilities

By maintaining a listing on the Directory, you agree to:

• Provide accurate, current and complete information for your listing at the time of submission
• Notify WTCBD promptly of any changes to your business details, including contact information, website or trading status
• Ensure all content supplied (including images, logos and descriptions) is owned by you or used with appropriate permission, and does not infringe third party rights
• Not use your listing to publish content that is misleading, offensive, defamatory or in breach of applicable laws

5. Content and Intellectual Property

You retain ownership of all content you supply for your listing. By submitting content, you grant WTCBD a limited, non-exclusive licence to display, reproduce and distribute that content for the purposes of operating and promoting the Directory.

WTCBD may reference your listing in promotional material relating to the Directory. WTCBD will not use your branding in a manner that implies a broader endorsement than your Directory listing.

6. Content Updates and Accuracy

WTCBD will publish your listing based on the information you provide. WTCBD is not responsible for inaccuracies arising from outdated or incomplete information supplied by you.

Requests to update listing content can be submitted to WTCBD at any time. WTCBD will use reasonable efforts to process updates within five (5) business days of receiving complete and accurate information.

WTCBD reserves the right to edit, withhold or remove listing content that does not meet its content standards, without liability to you.

7. Directory Changes

WTCBD may update, modify or discontinue any feature of the Directory at any time. Where changes are material, WTCBD will provide reasonable notice to listed businesses.

8. Suspension and Removal

WTCBD may suspend or remove a listing at any time if:

• You are in breach of these Terms and have not remedied the breach within fourteen (14) days of written notice
• The listing content is found to be false, misleading or in breach of applicable laws
• Your business has ceased to operate or has been deregistered

You may request removal of your listing at any time by providing written notice to WTCBD. Listing fees paid are non-refundable upon voluntary removal.

9. Cancellation and Termination

You may cancel your Directory listing by providing written notice to WTCBD at least fifteen (15) days prior to your renewal date. If notice is not received by this date, your listing will renew automatically and the renewal fee will apply.

Upon cancellation or non-renewal, your listing will be removed from the Directory at the end of the then-current listing period.

10. Limitation of Liability

To the extent permitted by law, WTCBD’s total liability to you under or in connection with these Terms is limited to the listing fee paid for the then-current listing period.

WTCBD is not liable for any indirect, incidental or consequential loss arising from the use of, or inability to use, the Directory.

11. Changes to These Terms

WTCBD may update these Terms from time to time. Updated Terms will be published on the WTCBD website and will apply from the date of publication. Continued use of your listing following publication of updated Terms constitutes acceptance of those Terms.

12. Governing Law

These Terms are governed by the laws of Western Australia. Any disputes arising under these Terms are subject to the non-exclusive jurisdiction of the courts of Western Australia.
